Terms and Conditions of Use of the AlunaIQ S.A.S. Website

This is a translation of the Spanish-language governing version, provided for convenience. In case of any discrepancy, the Spanish version prevails.
1. Site owner identification
This website and its AlunaIQ-branded digital resources (the "Site") are operated by ALUNAIQ S.A.S., Tax ID (NIT) 902100246-6, with its principal domicile in Bogotá, D.C., Republic of Colombia. Legal and privacy email: [email protected] / [email protected]. Referred to as "AlunaIQ," the "Company," "we," or "our." If ALUNAIQ S.A.S. is not yet legally incorporated at the time the Site launches, any form intended to collect personal data, create accounts, or enter into contracts will remain disabled until a legally identified data controller is in place.
2. Acceptance
Accessing, browsing, or using the Site means the user has had the opportunity to review these Terms and Conditions. When a feature requires express acceptance (account creation, demo requests, contracting, processing of information), AlunaIQ may request an affirmative, independent action via checkbox, button, electronic signature, or another legally valid mechanism. Acceptance of these Terms does not substitute for any specific authorization legally required for processing personal data or other regulated activities.
3. Purpose of the Site
AlunaIQ develops technology solutions covering, among other areas, intelligence and information analysis; KYC and counterparty screening; due diligence; risk identification and management; analysis of legal, corporate, financial, or property information; verification of corporate obligations; AI-assisted research; and specialized education. A product described on the Site is not necessarily commercially available, and its description does not by itself constitute a binding contractual offer. AlunaIQ may offer products in research, testing, pilot, beta, or development stages, which will be disclosed when relevant.
4. Nature of the information
Unless an express contract states otherwise, information published or generated through the Site has a general, technological, informational, or analytical purpose. It does not by itself constitute individualized legal, financial, accounting, tax, investment, credit, or professional advice, nor does it replace the analysis that qualified professionals must perform. Using analysis, KYC, due diligence, or AI tools does not exempt a professional user from applying their own judgment, verifying sources, and complying with applicable legal and regulatory obligations.
5. AI systems
Some AlunaIQ products may use artificial intelligence, machine learning, language models, or other technologies. The user acknowledges that automated tools may produce results subject to margins of error, incomplete information, false positives, or false negatives that require human validation. AlunaIQ will seek to implement reasonable quality control, traceability, security, and human oversight. Unless a specific contract states otherwise, no automated output should be interpreted as an absolute guarantee about the identity, solvency, legality, reputation, risk, or regulatory compliance of a natural or legal person.
6. KYC, due diligence, and risk analysis
Tools AlunaIQ offers for KYC, KYB, counterparty screening, due diligence, compliance, anti-money laundering, or risk analysis are decision-support tools. The client is responsible for determining the legal obligations applicable to it, the scope of its internal due diligence procedures, its decisions regarding a counterparty, and whether it has sufficient legal grounds to run the relevant checks. AlunaIQ does not guarantee that use of any specific tool, on its own, fully satisfies the regulatory obligations of every user or jurisdiction.
7. Registration and user accounts
Where a feature allows account creation, the user agrees to provide truthful and up-to-date information, keep credentials confidential, refrain from sharing individual access without authorization, promptly report unauthorized access, and use the account only for lawful purposes. The user is responsible for activity carried out through their credentials when attributable to their own conduct, negligence, or failure to follow reasonable security measures. AlunaIQ may implement multi-factor authentication, access logs, and other technical security controls.
8. Prohibited uses
The Site or its services may not be used to violate applicable law; affect third-party rights; access systems, accounts, or information without authorization; run unauthorized scraping or crawling; bypass security or authentication controls; introduce malware or malicious code; reverse-engineer where prohibited; impersonate a person; obtain information by deception; use information for unlawful discrimination, harassment, or fraud; resell or redistribute content without authorization; build competing products through unlawful appropriation of AlunaIQ's protected assets; or infringe intellectual property, privacy, data protection, or confidentiality rights. AlunaIQ may limit, suspend, or cancel access when there are reasonable grounds to believe use is abusive, fraudulent, or contrary to these Terms.
9. Intellectual property
Unless another owner is expressly indicated, the original elements of the Site and AlunaIQ products (software, code, architecture, documentation, methodologies, interfaces, text, designs, databases, models, and other protectable creations) belong to AlunaIQ or are used under license from their respective owners. Access to the Site does not transfer or license those rights generally. The user receives only a limited, revocable, non-exclusive, non-sublicensable authorization to use the Site as permitted by these Terms.
10. Trademarks, name, logo, and distinctive signs
AlunaIQ, its visual identity, logo, product names, and other distinctive signs are current or planned industrial property assets of the Company, which is developing its trademark protection and registration strategy in Colombia and relevant international jurisdictions. Nothing in these Terms states that a mark is registered in any given jurisdiction unless registration has actually been granted. Using AlunaIQ's distinctive signs in a way that could suggest sponsorship, association, or affiliation without prior consent is prohibited.
11. Domain name and digital presence
Domain names, corporate accounts, and digital profiles officially used by AlunaIQ are part of its digital assets. Owning or using a domain name does not substitute for trademark registration or industrial property protection mechanisms. Any abusive use intended to impersonate AlunaIQ, mislead third parties, or carry out phishing or cybersquatting is prohibited.
12. Third-party content
The Site may contain information, links, or integrations from third parties. Their inclusion does not imply sponsorship, endorsement, or commercial association. Rights over third-party content remain with their respective owners.
13. Personal data
AlunaIQ processes personal data under Colombian Statutory Law 1581 of 2012, its implementing regulations, and its Privacy and Personal Data Processing Policy. Details on the identity of the data controller, categories of data, purposes, data-subject rights, and complaint mechanisms are set out in that policy. Acceptance of these Terms does not by itself constitute generic authorization for any processing of personal data.
14. Cookies and tracking technologies
The Site uses strictly necessary cookies and, subject to consent, analytics technologies. AlunaIQ lets users learn about these categories and manage their preferences. Technologies that are not strictly necessary are not activated before the corresponding consent exists. See the Cookie Policy for details.
15. Information security
AlunaIQ will adopt reasonable technical, human, and organizational measures to protect the confidentiality, integrity, and availability of the information it processes. No system connected to the internet can be considered absolutely invulnerable. Users must also apply reasonable security measures of their own, including protecting their credentials.
16. Contracting products and services
When a client contracts AlunaIQ products, the relationship may be additionally governed by a master services agreement, SaaS agreement, order form, data processing agreement, service level agreement, security annexes, or other contractual documents. In case of conflict, the specific terms agreed for a given service prevail over these Terms with respect to that service.
17. Pricing, offers, and e-commerce
When AlunaIQ enables direct electronic contracting, it will provide the information required by law about the provider, essential features, pricing terms, applicable taxes, payment methods, and support channels. Where a relationship legally qualifies as a consumer relationship, mandatory consumer-protection rules will be respected.
18. Data messages and electronic evidence
Communications, acceptances, electronic records, and data messages generated through the Site may be retained under applicable law and used as evidence of interactions carried out through the Site. AlunaIQ may use additional authentication or electronic signature mechanisms when necessary.
19. Site availability
AlunaIQ will make reasonable efforts to keep the Site available, without guaranteeing uninterrupted operation. Interruptions may occur due to maintenance, updates, third-party infrastructure, technical incidents, or force majeure. Specific availability commitments to enterprise clients will be set out in the corresponding SLA or contract.
20. Limitation of liability
To the maximum extent permitted by law, AlunaIQ is not liable for decisions made solely on general information from the Site without the corresponding professional or contractual verification, nor for damages arising exclusively from unlawful use of the Site, false information supplied by the user, the user's failure to meet its own regulatory obligations, autonomous decisions by third parties, or external systems outside AlunaIQ's reasonable control. This clause does not exclude liability that, under mandatory Colombian law, cannot validly be excluded or limited, including rights held by consumers and data subjects.
21. Indemnity in business relationships
Where the user acts in a business capacity, it may be liable to AlunaIQ for reasonably demonstrated damages arising from deliberate unlawful use of the services, infringement of third-party rights, fraudulent use of credentials, or material breach of contractual obligations. The specific allocation of liability for enterprise clients will be developed in the corresponding commercial contract.
22. Modifications
AlunaIQ may update these Terms to reflect regulatory changes, new features, or operational adjustments. The last-updated date is shown at the top of this document. Where a modification materially affects an existing contractual relationship, the notice or acceptance mechanisms required by law or the relevant contract will apply.
23. Governing law
These Terms are interpreted primarily under the laws of the Republic of Colombia. Mandatory rules of another jurisdiction that apply to a specific relationship are not displaced by this clause where legally impossible to do so.
24. Dispute resolution and jurisdiction
The parties will seek to resolve any dispute related to the Site in good faith. Absent a special applicable mechanism, disputes will be submitted to the competent authorities and courts of Bogotá, D.C., Colombia, without restricting the right of consumers or data subjects to approach the competent authorities. Additional mediation or arbitration mechanisms for B2B contracts may be agreed in specific contracts.
25. Competent authorities
Users may exercise their rights before the relevant Colombian authorities. On data protection and consumer protection matters, the Superintendency of Industry and Commerce (SIC) exercises the powers assigned to it under Colombian law.
26. Severability
If any provision of these Terms is held invalid, ineffective, or unenforceable, that will not affect the remaining provisions, unless it becomes impossible to reasonably preserve their purpose.
27. Languages
The original, governing version of these Terms is the one written in Spanish. AlunaIQ may publish translations into English, Portuguese, or other languages for convenience. In case of any interpretive discrepancy between a translation and the Spanish version, the Spanish version prevails, unless a mandatory applicable rule states otherwise.
